1. Operator and application
These general terms govern services provided by Adam Červinka, trading as ADAMS — AI Solutions, Company ID 14314754, Horní náměstí 409/14, 165 00 Prague–Lysolaje, Czech Republic ("ADAMS").
They apply together with the accepted proposal, order, statement of work or service agreement. If project-specific terms conflict with these general terms, the expressly agreed project document takes priority.
2. Services
Services may include discovery and process mapping, consulting, websites, AI agents and assistants, chatbots, voice agents, workflow automation, scheduling and reservation systems, API or platform integrations, testing, documentation, training, maintenance and support.
The exact deliverables, exclusions, schedule, client dependencies and price are defined for each project. An exploratory discussion or estimate is not a binding commitment unless accepted in writing.
3. Formation of an agreement
An agreement is formed when the client accepts a written proposal or order, signs a service agreement, or otherwise confirms in writing that work should begin on an identified scope and price.
Material assumptions, milestones, acceptance criteria and third-party costs should be recorded in the project documentation. Email may be used for ordinary approvals and operational instructions.
4. Delivery approach
Work normally proceeds through discovery, implementation, testing and deployment. The sequence may be adapted to the project. Prototypes and demonstrations are for evaluation until expressly approved for production use.
Dates depend on timely access, decisions, content and cooperation from the client and relevant third parties. A delay outside ADAMS’ reasonable control moves the affected timetable accordingly.
5. Client responsibilities
The client must provide accurate information, timely feedback, authorised contacts, lawful instructions and the system access reasonably required for the agreed work.
- The client is responsible for the legality and accuracy of its source data, customer communications and business decisions.
- The client must obtain permissions, licences, notices and consents required for its use case.
- The client must not instruct the service to violate law, third-party rights or platform policies.
- The client remains responsible for human oversight and operational decisions unless the project document expressly allocates a task differently.
6. Access, credentials and security
Access should be granted with the least privileges necessary and through an agreed secure method. The client must promptly revoke obsolete access and report suspected compromise.
Passwords, private keys, full payment-card data and production secrets should not be sent through the website or ordinary email. ADAMS may refuse unsafe access arrangements or pause work until reasonable controls are available.
7. AI and automation limitations
AI-generated or automated outputs can be incomplete, inaccurate or unsuitable for an unexpected situation. Testing, safeguards, confidence thresholds, human escalation and monitoring are agreed according to the use case and risk.
Unless expressly confirmed by an appropriately authorised professional, outputs are not legal, medical, financial or other regulated professional advice. The client must not rely on an unverified automated output where an error could materially affect a person, safety, rights or finances.
8. Third-party platforms and costs
A solution may depend on services such as Meta, WhatsApp, Instagram, Telegram, telephony, email, hosting, cloud, AI providers, automation platforms, CRM, scheduling or payment services. Those services are governed by their own terms, pricing, limits and availability.
Unless a proposal states otherwise, third-party subscriptions, usage fees, phone charges, message fees, domains, licences and taxes are paid by the client. ADAMS is not responsible for a third party changing, limiting, suspending or discontinuing its service, but can propose reasonable adaptations as additional or maintenance work.
9. Messaging and platform compliance
The client is responsible for lawful messaging, valid recipient permissions, approved templates where required, opt-out handling and compliance with Meta, WhatsApp, Instagram, Telegram and other applicable platform policies.
Messaging functionality may be limited or changed when required by a platform, law or security concern. No project authorises spam, deceptive communication, unlawful profiling or prohibited content.
10. Voice agents, calls and recordings
Where a project handles phone calls or recordings, the client is responsible for confirming the lawful basis, required notices, consent where applicable, retention and access rules in every relevant jurisdiction.
The agreed caller identification, disclosure that an automated system is used, emergency limitations and route to a person should be proportionate to the use case. Voice agents must not be presented as emergency services.
11. Testing, acceptance and deployment
The client must participate in testing and provide representative scenarios, edge cases and authorised acceptance. Unless another period is agreed, deliverables should be reviewed without undue delay and specific defects reported in writing.
A defect means a material failure to meet the agreed specification. A new requirement, changed integration, platform change or preference that was not part of the agreed acceptance criteria is a change request rather than a defect.
12. Changes, support and maintenance
Changes to scope, integrations, data volume, timetable or assumptions may affect price and delivery and require written approval before additional work begins.
Support, monitoring, maintenance, incident response and documentation are included only to the extent stated in the accepted project document. Without an ongoing arrangement, the client is responsible for operation after handover and may request further work separately.
13. Fees, invoicing and cancellation
Fees, currency, deposits, milestones, due dates, expenses and cancellation terms are stated in the proposal or agreement. Invoices are payable by the stated due date.
Work may be paused for overdue payment after reasonable notice. The client remains responsible for completed work, committed third-party costs and other amounts due under the accepted project terms.
14. Intellectual property
Each party retains ownership of materials, know-how, data, brands and technology it owned before the project. Third-party and open-source components remain subject to their respective licences.
Ownership or licence terms for project-specific deliverables are stated in the accepted proposal or agreement. Unless agreed otherwise, reusable methods, generic components, templates, tools and know-how developed independently of the client’s confidential material remain with ADAMS, while the client receives the rights needed to use the paid deliverables for the agreed purpose.
15. Confidentiality and data protection
Each party must protect non-public information received for the project and use it only for the agreed purpose, except where disclosure is legally required or the information is already lawfully public.
Personal data is handled under the Privacy Policy and, where ADAMS acts as a processor, under the client’s documented instructions and any applicable data-processing agreement.
16. Warranties and availability
Services are performed with reasonable professional care. Specific business outcomes, revenue, savings, continuous availability or error-free operation are not guaranteed unless expressly stated in writing.
The client’s remedy for a reproducible defect within the agreed scope is reasonable correction or another remedy stated in the project agreement. Mandatory statutory rights remain unaffected.
17. Liability
Each party is responsible for foreseeable direct loss caused by its breach, subject to the limitations lawfully agreed in the project document. Neither party is responsible for indirect or consequential loss to the extent permitted by law.
ADAMS is not liable for client instructions, unlawful or inaccurate client data, unauthorised changes, use outside the agreed purpose, failure to follow documented safeguards, or third-party outages and policy changes outside reasonable control. Nothing excludes liability that cannot legally be excluded.
18. Suspension and termination
Work or access may be suspended where necessary for security, overdue payment, unlawful instructions, platform compliance or a material breach. Either party may terminate according to the accepted project terms or applicable law.
On termination, outstanding fees remain due. Each party should return or delete confidential information and access credentials as agreed, subject to legal retention duties, backups and continuing licence or confidentiality provisions.
19. Business and consumer clients
These terms are primarily designed for services supplied to businesses and professionals. If a client acts as a consumer, mandatory consumer-protection rights and required pre-contract information apply and cannot be limited by these terms.
20. Governing law, changes and contact
Czech law applies unless mandatory law requires otherwise. Disputes fall under the competent courts of the Czech Republic, subject to mandatory consumer jurisdiction.
These terms may be updated for future projects when services, law or platform rules change. The version accepted for an existing project remains applicable unless the parties agree otherwise.
